1. Introduction

Welcome to ThemeCraft. These Terms & Conditions outline the rules and regulations for the use of ThemeCraft’s website and services. By accessing our website and using our services, you agree to comply with and be bound by these Terms & Conditions. If you disagree with any part of these terms, you should not use our website or services.

2. Services

ThemeCraft provides Shopify website setup, design, customization, and ecommerce onboarding services. All services are subject to availability and are provided according to the specifications agreed upon during the initial consultation.

3. Contractor responsibility for Website Setup service

We, as contractors will use the content provided by the Client. Once the website is completed and delivered, the Contractor is not responsible for any images or content that are found on the website that may have been illegally acquired and put there by the Client. For example, if the Client illegally takes photos that are not meant for commercial use and are sued, the Contractor is not responsible and carries no risk. 

4. Free Discovery Call

We offer a free discovery call to discuss your needs and goals. This call is intended to understand your requirements better and provide initial guidance. It does not constitute a binding agreement to provide any specific services.

5. Payments

Payments for our service must be paid in accordance to what is agreed by both parties, and signed in a binding contract before the project commences. We accept various forms of payment, including credit/debit cards and online payment platforms.

6. Refunds and Cancellations

Refunds for services rendered are not provided. If you wish to cancel a service before work has begun, you may be eligible for a partial refund at our discretion. Cancellation requests must be submitted in writing.

7. Client Responsibilities

Clients must provide all necessary information and materials required for the completion of the project in a timely manner. Delays in providing required information may result in project delays.

8. Intellectual Property

All designs, graphics, and code created by ThemeCraft for the client are the intellectual property of ThemeCraft until full payment is received. Upon full payment, the intellectual property rights are transferred to the client.

9. Confidentiality

Both parties agree to keep all sensitive and confidential information exchanged during the course of the project private and not to disclose it to any third party without prior written consent.

10. Limitation of Liability

ThemeCraft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services.

11. Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

12. Changes to Terms

ThemeCraft reserves the right to modify these Terms & Conditions at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our website and services constitutes acceptance of the modified terms.

13. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of your state, and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
